3. Fees3.1. Zoom may charge a fee for access to and use of the Materials as set forth on zoom.us, Marketplace, or other contractual documents that provide access to the Materials. Zoom reserves the right to change fees, including the collection of fees, in its sole discretion. Zoom will use commercially reasonable efforts to notify Developers prior to the change in fees. 18.7. Any claim, question or controversy between Licensee and Zoom, its affiliates or their respective officers, directors, employees, agents, subcontractors or resellers arising out of or in connection with this Agreement (a "Dispute") shall be brought exclusively in the Superior Court of California, San Mateo County for State Disputes or the District Court of the Northern United States. District of California for Federal Court Cases. Each party undertakes to submit to the exclusive jurisdiction of these courts with regard to disputes and undertakes not to submit any dispute to any other court or decision-making body. Each party hereby consents to the venue and personal jurisdiction of such courts with respect to such disputes and irrevocably waives any right it may have to assert that such forum is not appropriate or that such court does not have jurisdiction. 1.11. "Privacy Policy" means Zoom`s Privacy Policy, which is available on zoom.us/legal and may be updated from time to time.
You will not share, lend or share your GSUSA ZOOM LICENSE or your username and password with anyone except your board staff or GSUSA personnel administrators who need it to retrieve it for you or who may need to track or investigate your use of the GSUSA ZOOM LICENSE. This is a one-time license for your use only. Zoom offers video conferencing and videoconferencing services that GSUSA has sublicensed to your board. You agree to use the GSUSA ZOOM LICENSE in accordance with the terms of the Agreements. 20.1 Choice of law and place of jurisdiction. This Agreement is governed by the laws of the State of California applicable to agreements to be entered into and performed in California by California residents. Except as provided in Exhibit A, the parties consent to the exclusive jurisdiction and venue of the state courts located in Santa Clara County, California, and the federal courts located in the Northern District of California. .
